Title Article 11 Change of registered articles
Article

11

(1) The statutory body shall be obliged to submit to the Ministry an application for the registration of a change in the registered articles within 15 days from the approval of
the change. The application shall be accompanied by:
a) a resolution of the party body that is competent pursuant to the registered articles to change the articles, signed by the statutory body or the required number of statutory body members for taking this decision according to the articles; the signatures shall
be certified;1 and
b) two copies of the changed articles.
(2) If the application and enclosed documents are in compliance with this Act, the Ministry shall send the statutory body one copy of the changed articles bearing the
date and sequence number of the registration of the changed articles. No decision shall be issued; it will only be marked in the file.
(3) If the application and enclosed documents are not in compliance with this Act, the Ministry shall send a written notification to the statutory body within 15 days from the
commencement of proceedings to remove the deficiencies. If the party fails to remedy the deficiencies within the specified time, the Ministry shall terminate the proceedings.
No decision on the termination of proceedings shall be issued; it will only be marked in the file.
(4) If the change of articles is not in accordance with §6, section 5, §7, section 9, letter d) or §7, section 9, letter e), the Ministry shall refuse to register the change of articles and shall file a motion with the General Prosecutor for an action according to §17. The decision refusing the registration of the changed articles shall be personally
delivered to the statutory body. This decision may not be appealed, but it may be reviewed by the Supreme Court.
(5) The party may, for its own needs, elaborate a full wording of the articles and send a copy thereof to the Ministry for filing in the Collection of Deeds. Neither the registration date and number of the party nor the date and sequence number of the changed articles registration shall be indicated on the full wording of the articles.
